1. Acceptance of Terms

By accessing or using GTM Labz services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.

2. Services Offered

GTM Labz provides Go-To-Market automation services including:

  • Scale Service: Fully managed GTM system setup and operation
  • Build Service: Collaborative training program for building internal GTM capabilities
  • Tool Evaluation: Research and recommendations for GTM tool stack
  • Workflow Automation: Design and implementation of automated GTM workflows

3. Service Scope and Deliverables

Specific service scope, deliverables, timelines, and pricing will be outlined in individual service agreements or statements of work (SOWs). These Terms of Service govern the general relationship between GTM Labz and clients.

4. Payment Terms

Payment terms are as follows:

  • Scale Service: Monthly retainer billed in advance. Payment due within 7 days of invoice
  • Build Service: Payment plans available (50% upfront, 50% at program midpoint, or monthly installments)
  • Late payments may result in service suspension and late fees as outlined in individual agreements
  • All fees are non-refundable unless otherwise specified in writing

5. Client Responsibilities

Clients agree to:

  • Provide timely access to necessary systems, data, and stakeholders
  • Respond to requests for information within agreed-upon timeframes
  • Assign internal resources as specified in service agreements
  • Comply with all applicable laws and regulations
  • Use services only for lawful business purposes
  • Maintain confidentiality of any proprietary methodologies or materials provided

6. Intellectual Property

GTM Labz Intellectual Property: All proprietary methodologies, frameworks, templates, and processes remain the exclusive property of GTM Labz. Clients receive a limited, non-transferable license to use these materials solely for their internal business purposes.

Client Data and Materials: Clients retain all rights to their data, content, and materials. By using our services, clients grant GTM Labz a license to use this information solely for providing the contracted services.

Work Product: Deliverables created specifically for a client (workflows, configurations, custom documentation) become the client's property upon full payment, unless otherwise specified in the service agreement.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes business strategies, financial information, customer data, and technical implementations. Confidential information may not be disclosed to third parties without prior written consent.

8. Service Modifications and Termination

By GTM Labz: We reserve the right to modify, suspend, or discontinue services with reasonable notice. We may terminate services immediately for non-payment, breach of terms, or illegal use.

By Client: Clients may terminate services according to terms specified in their service agreement. Early termination may result in fees as outlined in the agreement. Upon termination, all outstanding payments become immediately due.

9. Warranties and Disclaimers

Service Warranty: We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

DISCLAIMER: EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee specific business results, revenue increases, or ROI. Results depend on many factors outside our control, including market conditions, client execution, and competitive landscape.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GTM LABZ SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, special, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Costs of procurement of substitute services

Our total liability for any claims arising from services shall not exceed the total fees paid by the client in the 12 months preceding the claim.

11. Indemnification

Clients agree to indemnify and hold harmless GTM Labz from any claims, damages, or expenses arising from: (a) client's use of services in violation of these terms, (b) client's violation of any laws or regulations, (c) client's infringement of third-party rights, or (d) client-provided data or materials.

12. Third-Party Services and Tools

Our services may involve integration with third-party tools and platforms. GTM Labz is not responsible for the availability, functionality, or policies of third-party services. Clients are responsible for obtaining necessary licenses and complying with third-party terms of service.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

14. Dispute Resolution

Negotiation: Parties agree to first attempt to resolve disputes through good faith negotiation.

Mediation: If negotiation fails, parties agree to participate in mediation before pursuing legal action.

Governing Law: These terms shall be governed by and construed in accordance with the laws of Israel, without regard to conflict of law principles.

15. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify clients of significant changes via email or by posting a notice on our website. Continued use of services after changes constitutes acceptance of the modified terms.

16. Entire Agreement

These Terms of Service, together with any executed service agreements or SOWs, constitute the entire agreement between the parties and supersede all prior agreements, understandings, or communications regarding the subject matter.
